1. DEFINITION.
1.1. In this Agreement unless the context otherwise requires the following expressions shall have the following meanings:

“Confidential Information”: has the meaning given in Clause 2.

“Recipient”: means
(a) the Second Party, when it receives Confidential Information, directly or indirectly, from the Company or Company’s Representative(s), or

“Representative(s)”: in relation to the Company and any member of the Company:
(a) its officers and employees;
(b) its professional advisers or consultants who are engaged to advise the Company;
(c) its Recipients and sub-Recipients engaged by that party and/or any member of the Company; and
(d) any other person to whom the Company agrees in writing that Confidential information may be disclosed in connection with the Purpose.
