13.2 Subcontracts
Not later than thirty (30) Days prior to the execution by Contractor of any amendments, supplement, novation, replacement or other modification of or any waiver under, any Subcontract that would result in a change of (any such change, a “Material Amendment”):
(a) the identity of the Subcontractor;
(b) the scope of work or performance standards; or
(c) in the case of the Phase IIEPC Contract only:
(i) the critical path schedule, to the extent such change could affect the ability of Contractor to meet any milestone under the Implementation Schedule; or
(ii) a major piece of equipment as to either its company or country of manufacture specified in accordance with Attachment A-6 (List of Subcontractors) to Appendix A-2 (Phase II Plant and Integrated Plant Description, Design Conditions and Technical Data),
