Se trata de la Escritura de Constitución de una Fundación sin fines de lucro en donde, por supuesto, no hay accionistas. Hay una Junta de Fundadores y Benefactores y también un Consejo Directivo.
Entre las atribuciones de la Junta General Ordinaria de Fundadores y Benefactores tenemos:
"Elegir a los miembros del Consejo Directivo, excepto el primer CONSEJO DIRECTIVO PROPIETARIO".

If it is "first regular board of directors" rather than "first regular director", then perhaps the power to appoint members of the FIRST board of directors corresponds to the extraordinary meeting as opposed to the ordinary meeting.
