In a PowerPoint presentation discussing the implications of D.LGS 231/01, which introduced “la responsabilità amministrativa degli enti” (translated as corporate liability of entities), in the following phrase:

Si tratta di una responsabilità dipendente dalla consumazione di una serie di reati (la relazione di accompagnamento al decreto legislativo parla di “**sopravanzamento della illegalità d’impresa sulle illegalità individuali**”).

As I understand it, an entity’s "responsabilità amministrativa" (corporate liability) is dependent on the commission of one of a series of "reati presupposto" (predicate offenses?), in the interests or to the advantage of the entity, by an individual (natural person) who:

- rappresenta, amministra o dirige l’ente o una sua unità organizzativa o esercita, anche di fatto, la gestione e il controllo dello stesso, o

- è soggetta alla direzione o alla vigilanza di uno dei soggetti di cui sopra

Also:
la responsabilità dell’ente è indipendente da quella dell’autore del reato e si aggiunge ad essa
MA siccome dipende dal reato presupposto, é esclusa dal proscioglimento o dall’assoluzione della persona fisica.

Hence the need for the law. If it is a powerpoint presentation, I think you really want plain and clear wording to get the message across. "sopravanzamento" is not a legal technical term.


Not really relevant to the translation of your phrase, but:
basically what the law says is that if a manager commits a crime not for his direct personal gain but for the gain of his company then he is criminally liable and the company is also liable...

... unless the company can show that it has put a series of internal controls in place to prevent this.

the overtaking of unlawfulness of legal persons (corporations) over that of natural persons

I have done so many presentations for clients of the 231/01 ....

As an aside, this is in fact criminal liability but since a company is a "fiction" and criminal liability has only ever been appliable to natural persons, several jurisdictions - including Iitaly - have problems in using "criminal or penal". Italy has got round this by using "Administrative". It doesn't change very much as the law talks about "corporate imprisionment". Also, the law, compared to its initial subject matter, has been extendied beyond all belief to include so many criminal offences that it almost requires a penal code all of its own (e.g. mutilation of female genitles).

prevalence of corporate crimes over individual crimes

just asked a lawyer friend who a) is not sure what it means but who b) says that "vorrà dire che l'illegalità di impresa ha dimensioni perfino maggiori di quanto non ne abbia l'illegalità del singolo privato". hence my proposed answer.
