4.2 For precautionary purposes, Agent grants Client a continuing, first priority security interest in all Funds (and all proceeds derived from them) ever held or controlled by Agent and in all Authorized Accounts to secure its obligations with respect to the Funds under this Agreement. Agent shall cooperate with Client, as Client may reasonably request, to give effect to the security interest, including obtaining a control agreement, filing the appropriate financing documents as Client deems appropriate to perfect and maintain the security interest
