Dear XXX,
We would like to make the following offer to you for the Contract Position of Advanced Projects Manager for YYY and its associated companies starting Sept 1, 2011 and terminating on August 31, 2013. This contract would be renewable by mutual agreement.
Duties and Responsibilities:
• Review of third party opportunities.
• Plan, Coordinate and manage all advanced exploration projects for YYY and its clients.
• Prepare monthly technical and business report on your activities.
• Ensure compliance with all local fiscal and legal requirements.
• Prepare Resource and Reserve Estimations as required.
• Ensure up to date database management of your activities.
Compensation:
- US$ 275,000 signing bonus
- Base Salary: Gross US$ 275,000.00 / year.
- Participation in YYY Inc.’s Clients Incentive Program (To be determined)
- Family Health, Dental, Life Insurance Coverage Local and international.
- All work related equipment and expenses covered by YYY.
Independent Contactor Definition
The relationship between you and YYY is intended to be, and is to be construed as, that of independent contracting parties only and not that of employment, partnership, joint venture, agency or any other association whatsoever. Nothing whatsoever contained herein shall constitute either party as having authority to bind the other in any manner whatsoever, and nothing whatsoever contained herein shall give or is intended to give any rights of any kind to any third party.
Secrecy and Non-Solicitation
You will not at any time, without the prior written consent of YYY, disclose, divulge, communicate, or provide to any person or third party, except in the necessary course of you duties as a consultant of YYY, any confidential information with respect to YYY or its affiliates developed, learned or discovered by her in the course of your engagement as a consultant of YYY or otherwise.
The term “confidential information” as used in this Agreement shall include, but shall not be limited to, technical data, exploration strategies, details with respect to option and joint venture partners and similar information not yet released to the public domain. The confidentiality obligations herein shall continue after the expiry of this Agreement.
Translation - Portuguese Proposta de um Contrato de Prestação de Serviços a XXX, para a função de Gerente de Projetos Avançados na YYY Inc.
Prezado XXX,
Gostaríamos de propor um Contrato de Prestação de Serviços na função de Gerente de Projetos Avançados na YYY e em suas coligadas, com início no dia 1º de setembro de 2011 e término no dia 31 de agosto de 2013. Tal contrato seria renovável mediante acordo mútuo.
Funções e responsabilidades:
• Análise de oportunidades propostas por terceiros;
• Planejamento, coordenação e gerenciamento de todos os projetos avançados de exploração da YYY e de seus clientes;
• Elaboração de relatórios técnico-comerciais mensais sobre as atividades desenvolvidas na função;
• Garantia da conformidade de todas as exigências legais e fiscais vigentes;
• Elaboração de estimativas de recursos e reservas, conforme a necessidade;
• Garantia do gerenciamento de atualizações do banco de dados referente às atividades desenvolvidas na função.
Remuneração:
- US$275.000 como bônus de assinatura;
- Salário-base: US$275.000,00 anuais brutos;
- Participação no Programa de Incentivo de Clientes da YYY Inc. (a ser determinado);
- Plano de saúde familiar, odontológico e seguro de vida, com cobertura local e internacional;
- Todos os equipamentos e despesas relativos aos serviços prestados serão cobertos pela YYY.
Inexistência de vínculo entre as Partes
Pretende-se e interpreta-se que o vínculo entre o senhor e a YYY seja apenas de contratantes independentes, excluindo-se a possibilidade de vínculo empregatício, parceria, joint venture, representação ou qualquer outro tipo de associação. Em nenhuma hipótese, nada aqui contido conferirá às partes autoridade para criarem vínculos uma para a outra, tampouco será interpretado como outorga de nenhum tipo de direito a terceiros.
Sigilo e inadmissibilidade de incitação à rescisão
Ressalvadas situações de necessidade para o desempenho normal de suas funções como consultor nos termos do presente Contrato, em nenhuma outra hipótese alguma, o senhor, sem o prévio consentimento por escrito da YYY, tornará pública, divulgará, comunicará ou apresentará a nenhuma outra pessoa física ou jurídica nenhuma informação confidencial relativa à YYY ou a suas coligadas, sejam tais informações inferidas, apreendidas ou descobertas no desempenho normal de suas funções como consultor da YYY ou de outra forma.
O termo “informação confidencial” usado no presente Contrato incluirá, dentre outras coisas, dados técnicos, estratégias de exploração, detalhes pertinentes a opções e parceiros em joint venture e informações semelhantes que ainda não caíram em domínio público. As obrigações de confidencialidade ora estipuladas perdurarão após a extinção do presente Contrato.
